오클랜드 한인회 정관 

(20142 21일 개정)


1. 
명칭

 

1.01. 본회의 명칭을 ‘오클랜드 한인회’라고 칭한다.

 

2. 용어의 정의

 

2.01 본 정관에 사용한 용어의 의미는 다음과 같다

(a) “본 회”는 오클랜드 한인회를 의미 한다.

(b) “임원회”는 본회 회장과 부회장 그리고 10.01조항에 의거 회장으로부터 임명된 임원들의 회의를 의미한다.

(c) “본 법인체 법”은 Incorporated Society Act 1908과 그 개정법 또는 대체법을 의미 한다.

(d) “회원”은 본 정관 4조에 의거 본회 회원으로 가입한 사람을 의미 한다.

(e) “총회는 정기총회와 임시총회를 포함하는 모든 총회를 의미한다.

(f) “정기총회는 일 년에 정기적으로 여는 총회를 의미한다.

(g) “임시총회는 정기총회를 제외한 다른 모든 총회이다.

 

 

3. 목적

 

3.01 본회의 목적은 다음과 같다.

(a) 오클랜드 지역에 거주하는 한국인의 친목화합그리고 친선을 추구한다.

(b) 오클랜드 한인 사회의 발전과 안녕을 도모한다.

(c) 건전한 한국 문화의 이해 증진과 보급에 노력한다.

(d) 한국과 뉴질랜드 국가간의 우호협력을 위하여 노력한다.

(e) 한국인 이민자의 뉴질랜드 정착에 도움을 준다.

(f) 본회의 목적에 사용하기 위한 자금을 확보하고 이를 집행 한다.

(g) 본회의 목적에 부합하는 자산을 취득하고 처분한다.

(h) 본회의 목적을 달성하기 위한 업무 및 행사를 준비하고 이를 홍보 한다.

(i) 본회의 목적을 달성하기에 필요한 기타 부수적 업무를 수행 한다.

(j) 정치적으로는 중립을 유지하며 어떤 정당에도 소속하지 않는다.

(k) 본회에서 도움이 필요하다고 판단되는 회원에게 도움을 준다.

 

4. 회원

 

4.01 본회의 회원은 18세 이상으로 오클랜드 지역에 거주하며 본 정관 4.06에 의거 등록을 한

자이다.

 

4.02 회원은 (a)정회원, (b)준회원그리고 (c)명예회원으로 구분한다.

 

4.03 정회원

정회원은 한민족 또는 한민족의 후손으로서 뉴질랜드의 시민권자영주권자 또는 워크비자 소지자(웍킹 할러데이 비자는 제외) 이며 또한 그 회원의 배우자 이다.

 

4.04준회원

준회원은 한국 유학생과 그 배우자로 오클랜드에 12개월 이상 거주한 자이거나 기타 다른 목적(, 방문비자, 웍킹 할러데이 비자)으로 최소 2년 이상 거주한 자이다.

 

4.05명예회원

명예회원은 한국 외교관과 그 가족들, 그리고 임원회 의결을 통해 추천을 받은 자이다. 명예회원은 투표권을 가질 수 없다.

 

4.06회원이 되기 위하여 신청자는 반드시

(a) 회원 신청서를 작성하고 회비를 납부하여야 하며

(b) 임원회에서 요구하는 여러자료를 제출하여야 한다.

(c) 임원회는 신청자가 회원으로 적합하지 않다고 판단되는 경우이거나, 21.01항에 해당되어 임원회 결의에 의하여 회원의 자격이 정지되었던 사람의 경우 회원 등록을 거부할 수 있는 권한이 있다..

 

4.07 회비가 30일 이상 연체된 경우 자격이 일시 정지된다.

 

4.08 회원은 다음에 해당하는 경우 본회의 회원 자격이 완전히 정지된다.

(a) 본회에 서면을 통하여 사임한 경우.

    (b) 회원 유효기간이 만료된 지 12개월이 지난 경우

(c) 본 정관 20.01 항에 의거 본 임원회의 결의에 의하여 회원의 자격이 정지된 경우.

 

5. 회비와 부과금의 납부

5.01 모든 회원은 임원회에서 결정한 회비와 부과금을 납부할 의무가 있다.

 

6. 회원 명부

6.01 본회는 회원의 이름과 주소회원의 구분등록날짜와 회비납부를 기록한 회원명부를

보관해야 한다.

 

7. 본회의 사무실

7.01 본회의 등록 사무실은 오클랜드 지역에 위치하여야 하며 그 곳으로 모든 서신 연락이

이루어져야 하며 주소나 장소의 변경이 있을 경우 법인 등록처에 변경 등록 하여야 한다.

 

7.02 삭제

 

8. 정관의 개정

 

8.01 25조 특별조항을 제외하고, 본 법인체법 21조에 의거하여 출석 회원의 3분의 2이상의 찬성을 받은 총회의 결정에 따라 본 정관을 변경추가 또는 삭제 할 수 있다.

 

9. 총회

 

9.01 정기총회는 매년 5월 중에 개최 한다시간과 장소는 본 임원회에서 결정한다.

 

9.02 다음의 경우 임시총회를 소집할 수 있다.

(a) 임원회의 소집 결의.

(b) 21.01조에 의거한 30명 이상의 회원의 소집 요청.

(c) 회장의 소집 요청.

(d) 회장과 감사의 선출을 위한 경우 당해년도 정기총회 3주일 이전

 

9.03 모든총회는 최소 총회 14일 이전에 회원들에게 의제를 포함하여 소집 통보를 하여야 한다.

 

9.05 총회에 상정된 심의 사항은 의장의 회의 주재 하에 공개투표를 통하여 가부

결정한다. 찬반의 투표수가 동수일 경우 의장은 추가 투표 또는 의안 결정권을 행사 할 수 있다.

 

9.06 정기총회는 다음의 결의안을 수행한다.

(a) 임원회의 당해 년도 보고서

(b) 당해 년도 회계 감사 결산

(c) 삭제

(d) 정기 총회 공고일 14일 이전까지 본회 총무이사에게 서면으로 발의된 안건.

 

9.07 본 정관에 별도로 정한 참석 회원과 대리인 수가 있는 경우를 제외한 모든 총회 의사 정족수는 대리인을 포함해서 40명이며, 참석회원과 대리인이 40명 미만인 경우 총회를 진행할 수 없다.

정족수 부족시 9.08을 적용한다.

 

9.08 회의 개시 후 30분 경과할 때까지 의사 정족수가 성원되지 않은 경우;

  (a) 총회 사유가 9.02 (2)의 경우, 총회는 해산한다.

  (b) 총회 사유가 9.02 (2)가 아닌 경우, 임원회의 결정으로 당초 공고된 총회일로부터 1달 이내의 다른 시간과 장소로 총회를 연기하며, 본 임원회는 연기된 총회일 14일 전에 회원들에게 의제와 장소를 포함하여 재 통보한다. 만약 연기하여 소집된 총회에서도 9.07조항에 규정된 의사 정족수를 만족하지 못한 경우에는 참석한 회원수가 의사 정족수가 된다.

  (c) 9.07 항에 명시된 정족수보다 많은 의사 정족수가 규정되어 있는 조항의 경우, 각 조에서 정한 규정을 만족시켜야 한다. , 24조와 25

    특별히, 본 회의 해산을 심의하는 총회는 전체 정회원의 과반수를 의사 정족수로 하며 이 정족수가 성원되지 않을 경우 총회는 해산한다.

9.09 의결권이 있는 모든 회원 또는 그 대리인은 1인당 1표의 투표권을 행사할 수 있다. 회장 또는 감사의 선출은 대리 투표할 수 없다.

9.10 각 조에 특별히 규정한 경우를 제외한 모든 총회의 의결은 출석 회원과 대리인의 과반수 찬성으로 통과하여야 한다.

    회장과 감사의 선출은 10.03 규정에 의거하여 선출한다.

 

10. 임원회

 

10.01 본회는 회장부회장총무이사재무이사 및 회장이 임명한 최대 25명의 일반업무정보,

문화체육그리고 여성 등등의 업무 담당 임원들로 구성한 임원회를 통하여 본회의 업무를 수행한다.  

 

10.02 회장은 공석인 임원을 충원할 수 있으며또한 본회에 저촉된다고 판단된 경우 해당

임원을 해임 시킬 수 있다.

 

10.03 회장과 감사의 임기는 2년이며 한번에 한하여 재임할 수 있으며 최고 투표수를 받은

자를 선출한다.

 

10.04 회비 납부회원 중 회장 출마를 원하는 자는 뉴질랜드 시민권자 또는 영주권자 이어야

하며전과기록이 없어야 하며선거관리위원회에서 규정한 100명의 추천인 명부와 환불이 불가능한 소정의 기탁금을 납부 하여야 한다회원은 2명 이상의 회장 후보를 복수 추천할 수 없으며 복수 추천은 추천인 수에서 제외 된다.

회장이 업무를 수행할 수 없는 경우 본회는 보궐선거를 통하여 회장을 선출할 수 있으나그 잔여 임기가 6개월 미만인 경우 부회장이 회장의 역할을 대행 하도록 할 수 있다.

부회장이 2인 이상인 경우 임원회의 의결로서 회장 대행을 선출한다.

 

10.05 감사 출마를 원하는 자는 본회의 임원이 아니어야 하며 선거관리위원회에서 규정한 기간

안에 후보 등록을 하여야 한다 

만약 감사 후보자가 없을 경우차기 회장이 추천한 감사 후보를 교민 대표의원 총회에서 결정하도록 한다.

 

10.06 본회의 회장은 다음에 기술한 임무를 수행하여야 한다

(1) 본 정관 준수

(2) 총회임원회 및 각종 위원회 회의 주재

(3) 본회의 총괄적 업무 감독

(4) 정기총회에 본회의 업무 보고

(5) 개정 정관을 법인 등록처 및 기타 등록이 필요한 기관에 등록

(6) 본 정관의 수정사항을 법인 등록처에 등록

(7) 회장은 13.02에 근거한 ‘교민 대표의원 총회’를 구성하여 본회의 업무 중 13.01규정에 명시된

업무를 수행케 하며 또한 본회에 관련하여 조언을 구한다.

 

10.07 부회장은 회장을 보필하며 회장 부재 또는 유고 시 회장을 대행하여 본회의 업무를

주관한다.

 

10.08 총무이사는 다음의 업무를 수행한다.

(1) 회의록의 기록 보관

(2) 회원 명부 작성 및 보관

(3) 본회의 기록문서 및 자료 보관

(4) 임원들을 대행하는 업무 연락

(5) 본회의 인장 보관

 

10.09 재무이사는 다음의 업무를 수행한다.

(1) 본회의에 모든 수입금과 본회의 지출금을 회계 장부에 작성유지 및 관리한다.

(2) 매월 회계보고서를 작성하여 임원회의 발표하고 및 본회의 홈페이지에 공개한다.

(3) 매년 정기총회에 회계보고서를 작성 보고한다.

 

(4) 회계보고서를 법인 등록처 및 기타 필요한 기관에 작성 제출한다.

 

10.10 본회의 업무 수행을 위하여 본회 사무국을 구성하여 유급 또는 무급 직원을 채용하여

사무국의 업무수행을 하도록 한다.

 

11. 임원회의

 

11.01 임원회는 안건처리를 위하여 정기적인 회의를 개최하여야 하며 필요에 따라 휴회를 할

수 있고 회의 수를 규제할 수 있다시급한 사항은 별도 회의를 통하여 신속히 업무 처리를 하여야 한다회의에 상정된 심의 사항은 다수결의 원칙으로 의결하여야 한다찬반 동수인 경우 의장이 재심의에 상정하거나 또는 결정권을 행사한다.회장의 요청, 3명 이상 임원의 요청또는 2명의 임원과 총무이사의 요청에 의하여 임원회의를 소집할 수 있다.

 

11.02 임원회의 의결정족수는 임원회 위원의 과반수 참석으로 한다.

 

11.03 회장은 임원회의 의장으로 회의를 주관 한다회장 부재 또는 참석이 불가능한 경우

부회장이 의장의 역할을 수행한다.

 

12. 임원회의 권한

 

12.01 임원회는 본 정관 규정에 의거 본회의 모든 일반적 업무 수행 및 다음과 같은 일반적 업무 범위에 포함되지 않는 업무도 수행할 수 있도록 본회로부터 권한을 위임 받는다.

(1) 본 정관 개정안 작성 및 정기 총회에 상정                                     

(2) 본회의 재정상태를 심의하여 회비를 결정한다.

(3) 회원의 자격을 심의하며 회원 30명 이상의 동의를 구한 임시총회의 요청을 심의한다.

(4) 본 정관에 규정되어 있지 않은 심의 사안에 대하여 투표를 실시하여 결의한다.

(6) 특별위원회의 구성과 위원장 임명 동의권이 있다.

(7) 매월 임원회의에서 결정된 사항이나 중요 사안을 발의하여 다음달 열리는 교민 대표의원

총회에 상정한다.

건 당 $10,000 이상의 지출을 요하는 사안은 13.01에 근거하여 교민 대표의원 총회의 의결

없이는 집행할 수 없다.

 

13. 교민 대표의원 총회

 

13.01 교민 대표의원 총회는 오클랜드 한인회 주요사업과 관련하여 독립된 최고 입법기관이며예산

심의를 포함하여 $10,000이상 소요되는 각종 한인회 사업을 심의 결정한다.

 

13.02 대표위원은 총 45명 이내로 아래와 같은 기준으로 구성한다.

  (1) 아래와 같은 오클랜드 지역 교민 단체장으로서 희망자 20인 이내

     결성된 지 3년 이상 된 교민 공공 단체로서 15명 이상의 회원으로 보유하고 정관 및 조직이 분명히 조성된 단체의 회장

     연간 사업계획이 정립되어 있으며 1 4회 이상의 정기 모임 및 공공 행사를 추진한 실적이 있는 단체의 회장

     20명 이상의 단체장이 대표 의원을 희망할 경우 정회원 수에 의거 다수의 단체장 우선 임명

 

(2) 아래와 같은 오클랜드 지역 교민으로서 대표 의원 희망자 25명 이내

     뉴질랜드 영주권자 이상의 신분으로 5년 이상을 거주한 만20세 이상의 교민

     교민사회에서 덕망과 인품이 출중하다고 평가 받은 교민으로서 20명 이상의 추천을 받은 교민

     본회 회장은 최고 5명의 대표의원 추천권을 가지며기타 회장단 임원 5명은 당연 직 대표의원으로 임명할 권한을 가진다. (추천인 5인은 원로 교민 대표의원에 국한한다.)

 

(3) 대표의원의 임기는 임명된 날짜 이후 제11대 회장 임기 만료 시까지 유효하다단 개인적으로

부득이한 사정이 있어 사임 의사를 밝히거나 특별한 사유 없이 정기 총회 3회 연속 불참의 경우또는 중대한 민형사상의 사건에 연루되어 최종심에서 유죄가 확정될 경우 회장이 대표의원 임명을 철회하고 상기 (1),(2)항에 의거 후임자를 선출할 수 있다.

 

(4) 대표의원 정기 총회는 매월 말 1회 개최되며필요 시 회장이나 대표의원 10인 이상의 동의와

요청에 의거 임시 총회를 개최할 수 있다.

 

(5) 회장은 대표의원 총회의 의장으로 회의를 주관하되의결권은 보유하지 않는다회장 불출석의

경우에는 회장이 위임한 부회장이 의장 대행의 직무를 수행할 수 있다.

의장석이 공석일 경우에는 대표의원 과반수의 결의로 총회 임시의장을 선임할 수 있다.

 

(6) 총회에서 의결이 필요할 경우 임명된 대표의원 과반수 출석에출석의원 과반수의 동의로

결의된다별도의 한인회 이사회의는 대표의원 총회로 가름한다.

대표의원 총회에서 결의된 안건은 본회 최고 결정 사항으로 효력이 발생된다.

 

(7) 대표의원은 소정의 연회비를 납부할 의무를 지닌다.

  

(8) 13.02에 근거하여 단체장 교민 대표의원의 인선은 교민 방송잡지신문사 대표와 한인회장

단이 공동 투표하여 결정한다. (단체장 교민대표 의원들을 먼저 인선한다.)

 

(9) 13.02에 근거하여 개인 교민대표 의원은 희망자 중 단체장 교민대표 의원들이 투표하여 인선을

결정한다.

 

14. 특별 위원회

 

14.01 본 위원회의 의결에 의하여 선거관리 위원회 및 한인문화회관 건립 추진위원회 등 특별

업무 수행을 위한 특별 위원회를 구성하여 해당 업무를 효과적으로 추진 하도록 할 수

있다.

 

14.02 특별위원회는 위원회 구성 후 업무 수행 규정과 예산 및 일정을 수립하여 임원회의의

승인을 받는다

 

14.03 임원회에서 정한 일정에 따라 업무 수행 진행 사항과 결과를 임원회에 보고 해야 한다.

 

14.04 특별위원회는 특별 설립 목적 달성 시 임원회의 의결에 의하여 해산된다

 

15. 인장

 

본회는 인장을 보유한다본회의 공문서는 다음의 경우에 유효하게 작성된 것으로 인정 한다.

(1) 본회 인장이 날인되어 있고

(2) 회장총무이사 또는 재무이사 중 1인의 확인 서명과 그리고 다른 임원 중 1인의 확인

부서명이 되어있는 문서

 

16. 수표

 

16.01 모든 본회의 수표는 임원회에서 규정한 방법에 따라 서명 또는 배서하여야 한다.

 

17. 회계 장부 및 보고서

 

17.01 본회의 업무수행재산상황그리고 자금 입출금 내용을 사실에 입각하여 상세히 기록한

회계 장부를 유지해야 한다.

 

17.02 당해 회계 년도 말 또는 임원회의에서 결정한 시기에 본회의 입출금재산 및 부채

상황을 기록한 회계 장부를 검토하여 감사의 확인을 받아야 한다.

 

17.03 본회는 본 법인체법 및 Charities Act  의거하여 매년 회계보고서를 기타 필요한

기관에 제출하여야 한다

 

18. 감사

 

18.01 선출된 감사의 업무수행이 불가능한 경우교민 대표의원 총회에서 감사를 대체하도록

임명한다.

 

18.02 본회의 회계 장부와 보고서 복사본을 감사에게 제출하여야 한다.

 

18.03 감사는 제출 받은 회계장부와 보고서에 대한 검토보고서를 회원에게 제출하여야 하며,

모든 보고서는 본회의 업무 수행에 대한 적합성을 검토하고 회계의 정확성과 공정성을

검토 확인 하여야 한다.

 

19. 회계연도

 

19.01 본회의 회계연도는 정부의 회계연도 정책에 따라 매년 41일부터 다음해 331

까지로 한다.

 

20. 금전의 취득

 

20.01 본회의 회원은 법과 본 정관에 규정된 상황을 제외하고는 본회 재산과 업무를 통한

금전적 취득을 금한다.

 

21. 회원 제명 및 자격 정지

 

21.01 임원회는 본 정관을 고의로 위배하거나 범죄를 저지른 회원에 대하여 임원회의 결정을

통하여 해당 회원이 부적격 하다고 판단된 경우 회원제명 또는 자격을 정지 시킬 수

있다.

 

22. 투자

 

22.01 임원회는 단기적으로 필요한 자금을 제외한 여유 자금을 안전이 보장되는 곳에 투자할

수 있다자금 투자를 위하여 임원회는 본회의 적절한 운영에 저해되지 않도록 주의하고

성실하게 모든 기능을 발휘해 투자 하여야 한다. $2,500.00 이상의 투자에 대하여

반듯이 총회의 승인을 받은 후 실행하여야 한다.

 

23. 자금차용권한

 

23.01 본회는 위임 받은 다른 권한에 더하여 총회 참석 회원의 삼분의 이 이상의 찬성을 득한

후 공채채권저당권의 발행 및 본회 재산을 담보 또는 무담보로 하여 자금 대출 또는 모금을 할 수 있다.

 

23.02 임원회는 자금 차용의 권한이 없다.

 

24. (본회의해산

 

24.01 본회는 총회에 참석한 출석 회원의 과반수 찬성으로 해산을 결의 할 수 있으며 해산을

결의한 총회 30일 이후에 본회 해산을 결정하기 위하여 소집된 차기 총회에서 최종

해산을 결정 한다최종 해산 결정을 위하여 소집한 차기 총회는 전체 정회원의 과반수를 해산 의결 정족수로 하며 출석 회원의 과반수 이상의 찬성으로 해산을 결의 할 수 있다정회원의 과반수 이상 출석하지 않은 경우이 의결은 취소된다.

 

24.02 본회의 해산 시 본회의 부채와 해산을 위한 경비를 제외한 잔여 재산은 본회의 회원에게

나누어 줄 수 없으며본 정관 3 (영문정관에는 2조로 되어있으나 3조가 적절한 조항임으로 3조로 정정)에 규정된 본회의 목적과 매우 유사한 뉴질랜드 내의 다른 자선단체에 기부 또는 양도하도록 하며해산일 전에 임원회의를 통하여 양도 재산을 결정하도록 한다. 

 

25. 특별조항

 

25.01 한인(문화)회관의 용도, 소유권의 변경 및 매각 시, 주 오클랜드분관과 사전 협의 및 승인을 받아야 한다. 이 조항은 재외동포재단으로부터의 지원 조건인 바, 재외동포재단의 한인(문화)회관 건립지원금이 한인(문화)회관 통장에 입금 완료 시부터 적용되도록 한다.

25.02 본 조항은 특별조항으로 정관 개정 시에도 주 오클랜드분관의 서면 동의 없이는 절대 삭제하거나 변경할 수 없다.

 

 

 

 

 

 

 

 

 

 

 

 

Alteration of Rules of the Korean Society of Auckland

(New Set of Rules)

 

1. NAME

 

1.01. The name of the Association shall be "The Korean Society of Auckland Incorporated".

 

 

2. DEFINITIONS

 

2.01. The following words and expressions in these Rules shall have the following meanings:

(a) "The Association" means The Korean Society of Auckland Incorporated.

(b) “The Committee” means the meeting consisting of a president, vice president and the Executive Committee members appointed by the president of the Association referred to clause 10.01

(c) "The Act" means Incorporated Societies Act 1908 and any Act and amendment or substitution thereof.

(d) "Member" means any person who becomes a member of the Association pursuant to clause 4.

(e) "GM" means General Meeting which is comprised of annual general meetings and special general meetings.

(f) “AGM” means Annual General Meeting.

(g) “SGM” means Special General Meetings other than AGM.

 

 

3. OBJECTS

 

3.01. The Association shall have the following objects:

 

(a) To cultivate friendship, unity and good will among Korean people and their families who live in Auckland, New Zealand,

(b) To promote and encourage the development and welfare of the Korean community in Auckland,

(c) To promote the appreciation, understanding and practice of Korean culture,

(d) To promote friendly relations between Korea and New Zealand,

(e) To support the settlement in New Zealand of people who migrate from Korea,

(f) To raise and use funds for the purposes of, and in accordance with these objects.

(g) To acquire and dispose of any assets where appropriate in pursuit of these objects,

(h) To organise and promote activities which will assist in the achievement of these objects, and

(i) To do all such things as shall be conducive or incidental to the achievement of any of these objects.

(j) To maintain political neutrality and not to belong to any political party.

(k) To support members in need as the Association thinks necessary and reasonable.

 

 

4. MEMBERSHIP

 

4.01. Members shall be those who are at least 18 years of age and current residents of Auckland area, New Zealand and subscribe to the clause 4.06.

 

4.02. The membership of the Association shall consist of (a) Ordinary Members, (b) Associate Members and (c) Honorary Members.

 

4.03. Ordinary Members

 

Ordinary Members are those persons who are ethnically Korean or Korean descendants holding either a New Zealand citizenship or a residence visa or a work visa (not include working holiday visa), and spouses of those members.

 

4.04. Associate Members

 

The Associate Members shall be those persons who are Korean students and their spouses who have lived in Auckland of New Zealand for more than 12 months, otherwise at least 2 years if he or she has lived for other purposes e.g visitor, working holiday maker etc.

 

4.05. Honorary Members

 

Honorary Membership shall be Korean diplomats and their families, and persons who have been recommended through a resolution of the Committee. Honorary members shall not have a voting right.

 

4.06. To become a Member, the applicant must:

 

(a) Submit a completed application form together with payment of the membership fee; and

(b) Supply any other information the Committee requires.

(c) The Committee shall have complete discretion to deny any application if they believe a person is unsuitable for any reason or if the applicant had previously been expelled or suspended from membership by a resolution of The Committee pursuant to clause 21.01.

 

4.07. Membership will be suspended if membership fee is overdue for more than 30 days.

 

4.08 A Member shall cease to be a Member of the Association in any of the following events:

 

(a) They resign their membership, in writing to the Association.

(b) Their membership fee is overdue for 12 months.

(c) If he/she shall be expelled from membership by a resolution of the Committee pursuant to clauses 20.01.

 

 

5. SUBSCRIPTIONS AND LEVIES

 

5.01. Each member shall pay to the Association membership fees, including subscriptions and levies as may from time to time be determined by the Committee.

 

 

6. REGISTER OF MEMBERS

 

6.01. The Association shall keep a register of its Members containing the names, addresses and descriptions of its Members, the date upon which they became Members, and their payment of subscriptions.

 

 

7. REGISTERED OFFICE

 

7.01 The Association shall have a registered office which shall be at Auckland and to which all communications may be addressed and the notice of that situation of office or any change therein shall be given to the Registrar of Incorporated Societies.

8. ALTERATION OF RULES

 

8.01. Subject to section 21 of the Act, with the exception of ‘Clause 25 Special Provision’, these Rules or any of them may be altered, added to or rescinded by a resolution passed by a two-thirds majority of the Members present at a GM.

  

 

9. GENERAL MEETINGS

 

9.01. An AGM of the Association shall be held annually in May. The time and the place shall be determined by the Committee.

 

9.02. SGM may be convened at any time;

 

(a) Under the direction of The Committee, or

(b) At the request of not less than 30 Members of the Association pursuant to clause 12.01

(c) At the request of the President.

(d) To elect a president and an auditor of the Association. Such SGM shall be held not less than 3 weeks before an AGM of the year.

 

9.03. Fourteen days notice of any GM shall be given to Members and such notice shall specify the general nature of any business intended to be transacted at such meeting.

 

9.05. Voting at a GM shall be taken by show of hands or by secret ballot. In case of equality of votes, the chairman shall have a second or casting vote.

 

9.06. The business of the AGM shall be;

 

(a) To receive the annual report of the Committee,

(b) To receive the duly audited annual statements of the income and expenditure and assets and liabilities of the Association,

(c) Removed

(d) To transact any other business of which notice in writing has been given to the secretary at least 14 days prior to the last day upon which notice of meetings may be given.

 

9.07. No business shall be transacted at any GM unless a quorum of 40 members is present or have given their proxy by means of the association’s proxy form, unless expressly stated elsewhere in this constitution.

 if a quorum is not present clause 9.08 shall apply.

 

9.08. If, following half an hour from the time appointed for the meeting, a quorum of members is not present;

  (a) If GM was convened upon the requisition of members subject to clause 9.02 (2), the meeting shall be dissolved.

  (b) In any other case, it shall stand adjourned to some convenient time and place to be determined by the Committee. The date should be within one month from the original GM date. The Committee shall give fourteen days notice of adjourned GM to members and such notice shall specify the general nature of any business intended to be transacted at such meeting.

  If at such adjourned GM a quorum of members as provided for in clause 9.07 hereof is not present, the members then present shall constitute a quorum;

  (c) The quorum required for some business may be greater than as specified in clause 9.07 and is expressly stated in each relevant clause; such as clause 24 and 25.

  In particular, in the case of a vote to confirm a resolution to wind up the association, a quorum of at least 50% of all Ordinary Members is required. Failure to meet this quorum requirement will be cause for the meeting to be dissolved.

 

9.09. Subject to the foregoing provisions every member shall have one vote.

"Proxy voting" shall not apply to the election of the president and the auditor.

 

9.10. Resolutions at the GM shall be passed by a bare majority, of the members present plus proxies, unless expressly stated elsewhere in this constitution.

Election for the president and the auditor is referred to at clause 10.03

 

 

10. THE EXECUTIVE COMMITTEE

 

10.01. The affairs of the Association shall be conducted by the Committee which shall consist of the president, and the vice-president, the secretary, the treasurer and up to 25 executive members appointed by the president including a general affairs officer, a public information officer, a cultural affairs officer, a sports officer and a womens affairs officer.

 

10.02. The President shall have power to appoint a member to fill any vacancy on the Committee, and their title can be relinquished if they cause any hindrance to the development of the Association.

 

10.03. The President and the auditor shall be elected every 2 years and may be eligible for re-election once. They shall be elected by the highest number of votes.

 

10.04. Financial Member who wants to be a president of the Association shall have New Zealand citizenship or permanent residence, no criminal record, should pay a specified non-refundable amount to the Election Management Committee with an entry of candidature and a list of more than 100 Members recommendation signatures by going through prescribed formalities of the Election Management Committee. One Member shall not be allowed to recommend two or more candidates, and the multiple recommendations shall nullify its count. The Association shall hold a by-election to fill vacancy of a president due to his or her absence or incapacity, but a vice president recommended by the Committee can preside over the works of a president if the period of the vacancy is within 6 months.

If there are two or more vice presidents, the committee will elect one of them.

 

10.04.01 A person who wants to be the auditor of the Association must be a member of the New Zealand Society of Accountants, and must not be a Member of the Association, and must register as a candidate in a given period of time by going through prescribed formalities of the Election Management Committee.

The Assembly of Korean Representatives shall have the authority to appoint a candidate recommended by the President to the position of Auditor, if there are no other suitable candidates for the position of Auditor.

 

10.05. The Presidents duties are to:

 

(a)         Ensure that the Rules are followed;

(b)         Chair general meetings and any Committee meetings;

(c)         Oversee the operation of the Association;

(d)         Give a report on the operation of the Association at each Annual General Meeting;

(e)     Advise the Registrar of Incorporated Societies, or any other registry office if necessary, of any rule changes;

 

(f)         Advise the Registrar of Incorporated Societies of any alteration to the Rules.

(g)        Pursuant to clause 13.02, the President shall assemble the Assembly of Korean Representatives which shall perform the tasks specified in clause 13.01, and the President may seek advice from the Assembly of Korean Representatives regarding all matters in relation to the Association.

 

10.06. The Vice-President shall assist the President and in the event of his/her absence or incapacity shall preside over the business affairs of the Association as an acting president.

 

10.07. The Secretarys duties are to:

 

(a)         Record the minutes of Meetings;

(b)         Keep the Register of Members;

(c)         Hold the Association's records, documents, and books;

(d)         Receive and reply to correspondence as required by the Committee;

(e)         Retain the common seal of the Association.

 

10.08. The Treasurers duties are to:

 

(a)         Record all income and expenses, including membership fees, donations etc. and produce the financial reports.

(b)         Provide a financial report and statement of accounts every month to The Committee and publish same, once approved, via the associations website;

(c)         Give an annual financial report at the AGM

(d)         Forward the annual financial statements for the Association to the Registrar of Incorporated Societies and or any other statutory office upon approval by the Members at the AGM.

 

11. MEETING OF THE EXECUTIVE COMMITTEE

 

11.01. The Committee shall meet together for the dispatch of business, adjourn and otherwise regulate its meetings as it sees fit. Questions arising at any meeting shall be decided by a majority of votes. In the case of an equality of votes the chairman shall have a second or casting vote. Any 3 members of the Committee or the secretary on the requisition of any such 2 members shall at any time summon a meeting of the Committee or upon the requisition of the President.

 

11.02. The quorum necessary for the transaction of business of the Committee shall be at least half of the members of the Committee.

 

11.03. The President shall preside as chairman at every meeting of the Committee. If there is no president or unable to attend, the Vice-President shall preside as the chairman.

 

 

12. POWERS OF THE EXECUTIVE COMMITTEE

 

12.01. The management of the Association shall be vested in the Committee and the Committee may exercise all powers and do all, acts and things as the Association is by its rules or otherwise authorized to exercise and do without limiting the generality the Committee may in particular do any of the following;

 

(a)         To frame a proposal for amending the Rules and refer it to the Annual General Meeting;

(b)         To deliberate on the accounts of the Association, determine the amount of membership fees and refer these matters to the Annual General Meeting;

(c)         To deliberate on the qualification of members and on the requisition for a special meeting laid by more than 30 members of the association,

(d)         To vote on any matter not specifically provided in the Rules of the Association;

(e)         To deliberate on the decision of the Consultative Committee or Advisory Committee.

(f)         To appoint Specific Purpose Committee and their chairperson.

(g)        All items and important issues decided on monthly directors' assembly are to submit to the Korean Representative General Assembly held on the next month. According to 13.01, all issues demanding over $10,000 expenses are not executed without the decision of the Korean Representative General Assembly.

 

 

13. The Assembly of Korean Representatives (hereinafter called the Assembly)

 

13.01. The Assembly is the Associations legislature which shall have the highest authority within the Association. The Assembly shall have the authority to approve the annual budget of the Association and all other matters which require expenditure exceeding $10,000.00.

13.02. The Assembly shall consist of up to and including 45 Korean Representatives who best fits the requirements specified below.

(1)       Less than 20 members are to apply as the president of the organization in Auckland which satisfies following conditions.

     The president of the public Korean organization which has been organized over 3 years, over 15 members and the well-organized articles of organization and organization.

     The president should have an annual business plan; hold general meetings four times a year and have organized the public events.

     If over 20 presidents of organizations apply, the presidents who have more regular members will be appointed.

(2)       Less than 25 Auckland residents who satisfy following conditions can apply for the representative general

     Over 25-years-old permanent residents who have been living in New Zealand over 5 years.

     The residents who are recognized in Auckland society as outstanding revered and personality person and recommended by over 20 residents.

     The president of this committee has maximum five rights to recommend representative generals and other five presidential members have right to be appointed as the representative general.

(3)       The term of the representative general is available until the termination of the 11th president of the Korean Society in Auckland Inc. However, if the general expresses intention to resign by the personal reason, does not attend the meeting three times or has been related to any civil and criminal cases and been convicted, the president of the committee will withdraw his appoint as the representative general and will appoint replacement according to the above clause 1-2.

(4)       A regular general meeting should be hold once at the end of every month. A special general meeting can be hold, if the president or over 10 representative members agree and request.

(5)       The president is the chairman of the Korean Representative General Assembly conducts the meeting but has no voting right.

Delegated vice-president by the president shall assist as an acting president in the event of his/her absence.

If the position of chairman is absent, the temporary chairman is to be elected with the agreement of over a half of generals.

(6)       The vote is made when more than a half of representative generals attend, and the decision is made when more than a half of attended representative generals agree.

The item decided on the Korean Representative General Assembly will take effect as the best decision.

(7)       The representative member has a duty to pay annual membership fee.

(8)       According to 13.02, the chairman of representative generals will be appointed by election of the heads of Korean broadcasting, magazine, newspaaper, and the Korean Society in Auckland Inc. (The representative generals are to be elected first)

(9)       According to 13.02, the private representative generals are to be elected by Korea Representative Generals.

 

 

14. THE SPECIFIC PURPOSE COMMITTEE

 

14.01. The Committee may constitute Specific Purpose Committee for any specific business, such as the Election Management Committee and Cultural centre committee, and has the power to approve the methods of those Specific Purpose Committee.

 

14.02. Specific Purpose Committee shall establish; a budget, a time frame, and may adopt procedures to manage their specified business with the approval of, or at the direction of The Committee.

 

14.03. Specific Purpose Committee shall report to The Committee on their progress regularly as required by The Committee.

 

14.04. Specific Purpose Committee will be dissolved after completion of their business or by a decision of the Committee.

 

 

15. THE COMMON SEAL

 

The Association shall have a common seal. A document shall be executed on behalf of the Association if:

 

(a)         The common seal is attached to the document; and

(b)         The document is witnessed by any one of the Chairperson, Secretary, or Treasurer, and countersigned by one other member of the Committee.

 

16. CHEQUES

 

16.01. All cheques shall be signed or endorsed in such manner as the Committee shall from time to time direct.

 

 

17. BOOKS AND FINANCIAL STATEMENTS

 

17.01. The Association shall cause to be kept proper books of account in which shall be kept full, true and complete accounts of the affairs, assets and transactions of the Association.

 

17.02. At the close of each financial year and at such other times as the Committee may elect an income and expenditure account and a statement of assets and liabilities of the Association shall be prepared and shall be examined and the correctness thereof ascertained by the Auditor of the Association.

 

17.03. The Association shall file Annual Returns to the Registrar of Incorporated Societies and the Charities Commission, or any other as required pursuant to the various acts.

 

 

18. AUDITOR

 

18.01. The Assembly shall have the authority to remove the person holding the position of the Auditor from his official position if the person is unable or unfit to perform his or her duties as the Auditor. The Assembly shall have the authority to appoint another person to the position of Auditor to replace the person removed from the position.

 

18.02. The auditor shall be supplied with a copy of the accounts and statements of the Association.

 

18.03. The auditor shall make a report to the Members upon the statements and accounts as provided and in every such report state whether the same are full and fair accounts and statements and exhibit a true and correct view of the Association's affairs.

 

 

19. THE FINANCIAL YEAR

 

19.01. The Financial Year of the Association begins on 1 April of every year and ends on 31 March of the next year subject to government policy with regard to the financial year.

 

 

20. PECUNIARY GAIN

 

20.01. No member shall receive or obtain any pecuniary gain from the property or operation of the Association except by those circumstances provided for in law and by the rules of the Association.

 

 

21. SUSPENSION OR EXPULSION

 

21.01. The committee may suspend or except from membership of the Association when any member willfully disobeying any of the rules, being guilty of any conduct, rendering him or her in the opinion of the Committee, unfit or unsuitable to be a member of the Association, or deserving of suspension.

 

 

22. INVESTMENT OF FUNDS

 

22.01. The Committee may from time to time invest and re-invest in such securities and upon such terms as it shall think fit the whole or any part of its funds which shall not be required for the immediate business of the Association. In exercising this power of investment, the Committee shall exercise the care, diligence and skill available to them, in managing the affairs of the Association. The prior approval of a General Meeting of members must be obtained for any investment of a sum over $2500.00.

 

 

23. BORROWING POWERS

 

23.01. The Association shall in addition to the other powers invested in it have the power to borrow or raise money from time to time by the issue of debentures, bonds, mortgages or any other security founded or based on all or any of the property and/or rights of the Association or without any such security and upon such terms as to property and otherwise as the Association shall think fit but the powers of so borrowing or raising money shall not be exercised except pursuant to a resolution to that effect passed by a two thirds majority of members present at a General Meeting.

 

23.02. The Committee shall have no power to borrow money.

 

 

24. WINDING UP

 

23.01. The Association may be wound up voluntarily if the Association at SGM passes a resolution by a simple majority of members present requiring the Association to be wound up voluntarily, and the resolution is confirmed at a subsequent GM convened for that purpose only and held not earlier than thirty days after the date on which the original winding up resolution was passed.

Business of winding up shall not be transacted unless a quorum of half of all ordinary members is present at the subsequent GM. The final resolution may then be confirmed by a simple majority of Ordinary members present. If a quorum of members is not present within half an hour after the time appointed for the meeting, the meeting shall be dissolved and the original winding up resolution shall be vacated.

 

23.02. In the event of the Association being wound up the surplus assets after payment of the Associations liabilities and the expenses of the winding up shall not be divided among members at the date of winding up but shall be given or transferred to another Charitable Organisation within New Zealand having objects substantially similar to those stated in Rule 3, such gift to be determined by the Committee at or before the date of winding up.

 

 

25. Special Provision

 

25.01 When the Association requires a change to the use of premises, change of ownership and sale of the Korean Community (Cultural) Centre including putting the property on the market or any activities as such, the Association must obtain the signed agreement from the Consulate of the Republic of Korea in Auckland. As part of financial support conditions of the Overseas Koreans Foundation, this provision is required and shall be bound from the moment when the bank account of the Korean Community (Cultural) Centre shows the payment from the Overseas Koreans Foundation.

 

25.02 This is a special provision. This provision shall not be deleted or amended without the written consent of the Consulate of the Republic of Korea in Auckland.
